In the wake of the Covid-19 rise, the SEC has decided to go with a 0% F2F system

In light of the escalating number of coronavirus disease 2019 (Covid-19) infections in the country, the Securities and Exchange Commission (SEC) is instituting a 0% face-to-face transaction policy in its Metro Manila offices commencing January 13 until further notice.

All applications for company registration, submissions of reportorial requirements, and other transactions in the SEC’s main office in Pasay City and former headquarters in Mandaluyong City will be processed through its online portals, email, courier, and other remote means, according to a notice issued January 11.

The Commission adopted the zero face-to-face arrangements in accordance with Republic Act No. 11032, also known as the Ease of Doing Business Law, in order to effectively prevent the spread of Covid-19 in the workplace.

Applicants can use the electronic simplified processing of a company registration application via http://esparc.sec.gov.ph/application to register domestic stock and nonstock corporations, as well as partnerships and licenses to do business for foreign corporations.

Applicants can also use the eSPARC (electronic simplified processing of an application for registration of company) for one-day submission and e-registration of domestic stock corporations, which can be one-person corporations or corporations with two to 15 incorporators, board of directors, and stockholders.

Meanwhile, all AFS and GIS submissions must be made through the electronic filing and submission facility (eFAST) at https://cifss-ost.sec.gov.ph/.

Sworn statements for foundations/nonstock organizations, non-profit organization forms, the general form for financial statements, special form for financial statements, affidavit of non-operation, to be filed with the AFS/GIS, and affidavit of non-holding of the annual meeting, to be filed with the GIS are also accepted through eFAST.

Other reports, documents, and communications that are not covered by eFAST can be sent to ictdsubmission@sec.gov.ph by email.

Clients can access the SEC Express System at http://www.secexpress.ph to request SEC materials. Within 10 to 15 days, the documents will be delivered by courier to the applicant’s mailing address.

Meanwhile, the public can use the electronic system for payment to the SEC (eSPAYSEC) at https://espaysec.sec.gov.ph/ to make online and cashless payments.

The system supports debit and credit cards, digital wallets, and other cashless payment alternatives for registration and other transaction fees, as well as penalties.

The SEC Notice dated January 11 contains further information on using the Commission’s online services.

Despite the changes in its operations, the SEC will maintain a skeleton crew and undertake other alternate work arrangements to ensure that services are delivered without interruption.
